Legal Agreement
These Velocity AI Terms of Service ("Terms of Service"), together with any additional terms specifically applicable to some of our services and features as presented on the Velocity AI website(s) ("Velocity AI Website", and collectively - the "Velocity AI Terms"), set forth the entire terms and conditions applicable to each visitor or user ("User" or "you") of the Velocity AI Website, Velocity AI mobile applications (the "Velocity AI App"), and any other services, applications, and features offered by us with respect thereto, except where we explicitly state otherwise (all services offered through the Velocity AI Website or the Velocity AI App, collectively - the "Velocity AI Services" or "Services").
The Velocity AI Terms constitute a binding and enforceable legal contract between Velocity AI Ltd. and its affiliated companies and subsidiaries worldwide ("Velocity AI", "us", or "we") and you in relation to the use of any Velocity AI Services - so please read them carefully.
You may visit and/or use the Velocity AI Services and/or the Velocity AI App only if you fully agree to the Velocity AI Terms - and by using and/or registering for any of the Velocity AI Services, you signify and affirm your informed consent to these Terms of Service and any other Velocity AI Terms applicable to your use of any Velocity AI Services. If you do not read, fully understand, and agree to the Velocity AI Terms, you must immediately leave the Velocity AI Website and avoid or discontinue all use of the Velocity AI Services.
By using our Services, you acknowledge that you have read our Privacy Policy available at Privacy Policy ("Privacy Policy").
User Account
To access and use certain sections and features of the Velocity AI Services, you must first register and create an account with Velocity AI ("User Account").
If anyone other than yourself accesses your User Account and/or any of your User Platform's settings, they may perform any actions available to you, make changes to your User Platform(s) and User Account, and accept any legal terms available therein, make various representations and warranties, and more – and all such activities will be deemed to have occurred on your behalf and in your name.
We strongly encourage you to keep your User Account's log-in credentials confidential and only allow access to people you trust, as you will be solely and fully responsible for all activities that occur under your User Account and/or User Platforms (including any representations, warranties, and undertakings made therein), whether or not specifically authorized by you, and for any damages, expenses, or losses that may result from such activities.
You must provide accurate and complete information when registering your User Account and using the Velocity AI Services, to which you are the sole and exclusive rights holder. We strongly encourage you to provide your own (or your company's) contact and billing details, including your valid e-mail address, as we may use it to identify and determine the actual and true owner of the User Account and/or User Content (as defined below) submitted to us.
In case of a dispute on User Account ownership, we reserve the right to determine ownership to a User Account based on our reasonable judgment, whether or not an independent investigation has been conducted by us. However, if we cannot make such determination (as we may deem in our sole discretion), we reserve the right to avoid doing so and/or suspend a User Account until the parties disputing such ownership reach a resolution, without liability to you or any other party. We may request documentation (e.g., government-issued ID, a business license) that may assist us in determining ownership.
Your Obligations
By using the Velocity AI Services, you agree to: (a) comply with all applicable laws, regulations, and industry best practices; (b) maintain the security and confidentiality of your User Account credentials; (c) provide accurate, current, and complete information during the registration process and update it as necessary; (d) be solely responsible for all activities that occur under your User Account, including any content or materials uploaded, transmitted, or stored using the Velocity AI Services; (e) use the Velocity AI Services only for lawful purposes and in accordance with these Terms of Service; (f) not engage in any activity that infringes or violates the rights of others, including intellectual property rights, privacy rights, or any other applicable laws and regulations; and (g) promptly notify Velocity AI of any unauthorized use of your User Account or any other breach of security.
Intellectual Property Rights
Velocity AI retains all rights, title, and interest in and to the Velocity AI Services, including, without limitation, all copyrights, trademarks, trade secrets, patents, and other intellectual property rights. You acknowledge that the Velocity AI Services contain proprietary content, information, and material that are protected by applicable intellectual property and other laws, including, without limitation, copyright laws, and that you will not use such proprietary content, information, or materials in any way whatsoever except for permitted use of the Velocity AI Services.
You grant Velocity AI a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform any content, data, or information that you upload, submit, or otherwise transmit to or through the Velocity AI Services ("User Content") in connection with the provision of the Velocity AI Services.
Termination
You may terminate your User Account and/or stop using the Velocity AI Services at any time. To do so, please contact us at [email protected].
Velocity AI may terminate your access to and use of the Velocity AI Services or your User Account, at any time and for any reason, at our sole discretion. In such an event, we will provide you with a notice of termination to the email address associated with your User Account.
Disclaimer of Warranties and Limitation of Liability
The Velocity AI Services are provided on an "as-is" and "as-available" basis. Velocity AI disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Velocity AI does not warrant that the Velocity AI Services will be error-free, uninterrupted, secure, or that defects will be corrected.
In no event shall Velocity AI, its affiliates, or their respective officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of, or inability to access or use, the Velocity AI Services; (b) any conduct or content of any third party on the Velocity AI Services; (c) any content obtained from the Velocity AI Services; or (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.
Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Velocity AI is incorporated, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in the same jurisdiction as Velocity AI for the resolution of any disputes arising out of or relating to these Terms of Service or your use of the Velocity AI Services.
Changes to Terms of Service Velocity AI reserves the right, at its sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Velocity AI Services after any revisions become effective, you agree to be bound by the revised Terms of Service. If you do not agree to the new terms, you must stop using the Velocity AI Services and terminate your User Account.
Miscellaneous
If any provision of these Terms of Service is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Service will otherwise remain in full force and effect and enforceable.
The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder.
You may not assign or delegate any rights or obligations under these Terms of Service without our prior written consent. We may freely assign or delegate all rights and obligations under these Terms of Service, fully or partially, without notice to you.
These Terms of Service, together with the Privacy Policy and any other legal notices published by Velocity AI on the Velocity AI Services, constitute the entire agreement between you and Velocity AI concerning the use of the Velocity AI Services and supersede any prior agreements between you and Velocity AI with respect to the subject matter hereof.
